(“FRAME,” “WE,” “US,” OR “OUR”). BY ACCESSING OR USING THE SITE, YOU AGREE TO THESE TERMS ON BEHALF OF YOURSELF AND, IF APPLICABLE, THE ENTITY YOU REPRESENT. IF YOU ARE USING THE SITE ON BEHALF OF AN ENTITY, YOU REPRESENT THAT YOU HAVE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS. THE SITE IS INTENDED FOR USERS WHO ARE AT LEAST 18 YEARS OLD. BY USING THE SITE, YOU REPRESENT THAT YOU ARE AT LEAST 18 YEARS OLD. Your continued use of the Site after we post updated Terms means you accept the updated Terms. We may modify, suspend, or discontinue the Site (in whole or in part) at any time without notice. We do not guarantee that the Site (or any content or feature) will be available at all times.

Permitted Use and Restrictions.  Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for your informational purposes and for legitimate business inquiries with us. No right, title, or interest in or to the Site or any content is transferred to you, and all rights not expressly granted are reserved. Frame and related names, logos, product and service names, designs, and slogans are trademarks of Frame or its affiliates or licensors. Other trademarks appearing on the Site are the property of their respective owners. You may not use any trademarks displayed on the Site without the prior written consent of the owner.

Submissions.  If you send us feedback, questions, suggestions, resumes, materials, or other information (collectively, “Submissions”), you agree that your Submissions are provided on a non-confidential basis and without any expectation of compensation, unless we have agreed otherwise in a separate written agreement signed by us. You grant Frame a non-exclusive, worldwide, perpetual, irrevocable, sublicensable, and royalty-free license to use, reproduce, modify, publish, distribute, and otherwise exploit your Submissions for any lawful purpose, including to respond to your inquiry, evaluate business opportunities, and improve our products and services.

    Do not submit through the Site (including through any contact form or email link) any proprietary third-party information or other sensitive information that you are not authorized to share. Any such submission is at your own risk.
  6. Acceptable Use; Compliance With Laws.  You agree to use the Site only for lawful purposes and in accordance with these Terms. We may investigate any suspected violation of these Terms and may cooperate with law enforcement or other authorities as we deem appropriate.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT.

Limitation of Liability.  TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAME AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAME’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Indemnification.  You agree to defend, indemnify, and hold harmless Frame and its affiliates, and each of their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any applicable law or regulation.
  11. Termination.  We may suspend or terminate access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive, including Sections 4 through 10 and 12 through 13.

Governing Law; Venue.  These Terms and any dispute arising out of or related to these Terms or the Site will be governed by the laws of the State of Texas, without regard to conflict of laws principles. Any legal action or proceeding arising out of or related to these Terms or the Site must be brought exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
  13. Miscellaneous.  You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, or as otherwise permitted by law. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. By using the Site or communicating with us electronically, you consent to receive communications from us electronically and agree that such communications satisfy any legal requirement that they be in writing.
